1) Acceptance of Terms

By accessing or using the website jubatustech.com (the "Site") operated by Jubatus Enterprises LLC ("Jubatus", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Site. We reserve the right to modify these Terms at any time; continued use after changes constitutes acceptance.

2) Description of Services

Jubatus provides cybersecurity consulting, managed IT services, software development, cloud solutions, networking, and IT consulting services. The Site provides information about our services, allows you to contact us, and may facilitate service inquiries and proposals. Specific service engagements are governed by separate agreements between Jubatus and the client.

3) Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Site and engage our services. By using the Site, you represent and warrant that you meet these requirements. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems
• Introduce viruses, malware, or any other harmful code to the Site
• Interfere with or disrupt the integrity or performance of the Site
• Collect or harvest any information from the Site without our written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use automated tools (bots, scrapers, crawlers) to access the Site without our express permission

All content on the Site — including but not limited to text, graphics, logos, trademarks, images, software, and design elements — is the property of Jubatus Enterprises LLC or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any content without our prior written consent.

6) Service Agreements

These Terms govern your use of the Site only. Any cybersecurity, IT, consulting, or development services provided by Jubatus are subject to a separate Master Services Agreement (MSA), Statement of Work (SOW), or other written contract. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall prevail with respect to the services covered therein.

Any non-public information shared between you and Jubatus through the Site (including but not limited to business details, technical specifications, and security assessments) shall be treated as confidential. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law or as necessary for the performance of agreed-upon services.

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal information. By using the Site, you consent to the practices described in those policies.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUBATUS ENTERPRISES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Jubatus Enterprises LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that we are not liable for any damage or loss caused by the use of such third-party services.

13) Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of such courts.

14) Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15) Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Jubatus regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral, regarding the same subject matter.
